Terms of Service
Terms between [operating entity] and merchants using Nexus Pay.
1. The service
Nexus Pay provides a hosted checkout, payment verification, notifications, and settlement of USDT and USDC received on supported networks to a wallet the merchant designates. It is a custodial collection service: funds are held on platform-controlled addresses from receipt until settlement.
2. Eligibility and activation
Merchants must complete registration, verify contact details, and pass live activation before real funds are accepted. [Operating entity] may decline or suspend accounts under its policies and applicable law in [jurisdiction]. Suspension blocks new invoices but does not remove the obligation to settle funds already received.
3. Fees
Fees are the flat per-invoice amounts published on the Fees page for the merchant's plan at the time each invoice is created, deducted from settlement in the received asset.
4. Merchant responsibilities
- Keep API keys and webhook secrets confidential and server-side.
- Verify webhook signatures and deduplicate events before fulfilling orders.
- Provide a payout wallet you control; you are responsible for its correctness.
- Comply with applicable law for the goods and services you sell.
5. Exceptions and refunds
Underpayments, late payments, and payments in the wrong asset are held for review and are not credited automatically. Refunds are made only to a destination the merchant confirms with the customer, after review.
6. Limitations
Blockchain transactions are irreversible; [operating entity] cannot recover funds sent to the wrong network or asset. Availability is described on the status page; no uptime warranty is given during pre-launch.
7. Changes and termination
[Notice period, governing law, dispute resolution — to be decided with counsel.]
